These Terms of Service ("Terms") govern your use of the Payya mobile application and website at payya.me ("Service"), operated by Payya ("we", "our", "us"). By using Payya, you agree to these Terms.
1. Eligibility
You must be at least 18 years old to use Payya. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
2. Account Registration
To use certain features, you must create an account using Apple Sign-In, Google Sign-In, or email and password. You are responsible for:
- Maintaining the security of your account credentials
- All activity that occurs under your account
- Providing accurate and up-to-date information
3. The Service
Payya allows you to:
- Split bills and expenses with friends
- Send payment requests to individuals or groups
- Manage friends and groups for recurring splits
- Create and publish ticketed events
- Purchase event tickets and receive digital ticket confirmations
- Check in attendees at events using QR codes
- Receive payments via Stripe Connect
Payya is a payment facilitation tool. We are not a bank, financial institution, or money transmitter. We do not hold, transfer, or manage funds directly.
4. Payments and Stripe
Payment processing is provided by Stripe and is subject to Stripe's terms and conditions. By using Payya's payment features, you agree to be bound by Stripe's Connected Account Agreement.
When you set up payouts:
- You will be onboarded through Stripe's Express account flow
- Stripe handles identity verification and compliance
- Payouts are transferred to your nominated bank account by Stripe
- We may charge a platform fee on transactions (currently $0 during the introductory period)
We are not responsible for delays, failures, or errors in payment processing caused by Stripe, banks, or payment networks.
5. Events and Tickets
Payya allows users to create ticketed events and sell tickets to attendees.
For organisers:
- You are responsible for the accuracy of your event details (date, time, location, pricing)
- You are responsible for delivering the event as described
- You will receive attendee information (name, phone, email, payment and check-in status) to manage your event
- You must handle attendee data in accordance with applicable privacy laws
For attendees:
- Tickets are personal and linked to the phone number and email provided at registration
- Each ticket includes a unique QR code for check-in; do not share your QR code with others
- Admission is at the discretion of the event organiser
- Your name, phone, email, and check-in status will be visible to the event organiser
Refunds and cancellations:
- Refund policies are set by the event organiser
- Payya may facilitate refunds on behalf of organisers but is not responsible for organiser refund decisions
- If an event is cancelled, attendees should contact the organiser directly
Payya is not the organiser of any event and does not guarantee that any event will take place as described.
6. User Conduct
You agree not to:
- Use Payya for illegal, fraudulent, or deceptive purposes
- Send payment requests for goods or services you have not provided
- Create events that are misleading, fraudulent, or that you do not intend to deliver
- Use, copy, or share another person's ticket QR code
- Harass, abuse, or send unwanted requests to other users
- Attempt to reverse-engineer, exploit, or compromise the Service
- Create multiple accounts to circumvent restrictions
7. Intellectual Property
The Payya name, logo, design, and all associated content are owned by us. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.
8. Privacy
Your use of Payya is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
9. Disclaimers
Payya is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.
10. Limitation of Liability
To the maximum extent permitted by law, Payya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Payya (if any) in the 12 months preceding the claim.
11. Account Termination
You may delete your account at any time by contacting support@payya.me. We may suspend or terminate your account if you violate these Terms or engage in activity that harms other users or the Service.
Outstanding payment obligations survive account termination.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this page. Continued use of Payya after changes constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or the Service shall be resolved in the courts of New South Wales.
